Terms & Conditions

1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Permata Partners", "we", "us", or "our" refers to Permata Partners, with its registered office at 9 Persiaran Kayangan, Seksyen 7, 40000 Shah Alam, Selangor, Malaysia.
- "Client" or "you" refers to the organisation or individual who engages Permata Partners for advisory services, or who uses this website.
- "Engagement" refers to an advisory service agreed between Permata Partners and a Client, as described in a written scope document.
- "Deliverable" refers to the written document produced at the conclusion of an Engagement, including maturity notes, advisory documents, one-page backlogs, and release working agreements.
- "Website" refers to the site at permata-partners.site and all pages accessible from it.
2. Website use
By accessing this Website, you agree to these Terms. The Website is provided for information purposes only. We make reasonable efforts to keep information accurate and current, but we do not warrant that all content is complete, current, or free from error at any given time.
You may not use this Website for any unlawful purpose, to distribute malicious code, to attempt to gain unauthorised access to any part of the Website or its infrastructure, or to engage in conduct that could damage, disable, or impair the Website.
3. Engagements and scope
Every Engagement begins with a written scope document agreed by both parties before any sessions take place. The scope document defines the nature of the Engagement, the sessions to be conducted, the Deliverable to be produced, and the timeline.
Scope adjustments may be agreed in writing during an Engagement, but do not affect the fixed price unless both parties expressly agree otherwise in a written amendment to the scope document. Permata Partners does not add scope or charges unilaterally.
4. Fees and payment
Fees for each Engagement are fixed and stated in the scope document. The fee covers all sessions described in the scope, the production of the Deliverable, and one revision round. The fee does not cover:
- Travel or accommodation costs for on-site attendance outside the Klang Valley, unless separately agreed.
- Additional sessions or deliverables requested after the scope has been finalised.
- Tooling, software licences, or third-party services of any kind.
Invoices are issued upon delivery of the final Deliverable unless a different payment schedule is agreed in writing. Payment is due within 30 days of the invoice date. We accept bank transfer and purchase order for government-linked clients.
Overdue invoices may attract interest at the rate of 1.5% per month from the due date, applied to the outstanding balance.
5. Deliverables and intellectual property
Upon full payment of the Engagement fee, ownership of the Deliverable transfers to the Client. The Client may use, reproduce, and distribute the Deliverable internally without restriction.
Permata Partners retains ownership of the methodologies, frameworks, templates, and know-how used in producing the Deliverable. These are not transferred to the Client as part of the Engagement.
The Client may not publish the Deliverable externally or attribute it to any party other than Permata Partners without our prior written consent.
All content on this Website, including text, design elements, and structure, is the property of Permata Partners. You may not reproduce, redistribute, or commercially exploit Website content without prior written permission.
6. Confidentiality
Each party agrees to treat the other's confidential information with the same standard of care it applies to its own confidential information, and in any case no less than reasonable care.
For the avoidance of doubt, all information the Client shares during sessions — including pipeline configurations, deployment practices, team structures, and incident histories — is treated as confidential by Permata Partners. This information will not be shared with third parties and will not be used in work for other clients.
Permata Partners will not use the Client's name or describe the Engagement in any public-facing material without explicit written permission.
7. Limitation of liability
Our Deliverables represent our independent professional assessment based on observations made during the Engagement. They are advisory in nature. The Client remains solely responsible for decisions taken on the basis of our advice, and for the implementation of any recommendations.
Permata Partners shall not be liable for any indirect, incidental, consequential, or special damages arising from an Engagement or from use of this Website, including loss of profits, loss of data, or business interruption.
Our total liability in connection with any Engagement shall not exceed the fee paid for that Engagement.
8. Cancellation
Either party may cancel an Engagement before sessions begin, with written notice. Where the Client cancels before sessions begin, no fee is payable. Where Permata Partners cancels before sessions begin, we will inform the Client promptly and assist in finding an appropriate alternative timeline where possible.
Where sessions have commenced and the Client wishes to cancel, the Client is liable for a proportion of the fee reflecting the work completed to that point, as agreed in writing at the time of cancellation.
9. Governing law
These Terms and any disputes arising from them are governed by the laws of Malaysia. Any dispute not resolved by good-faith discussion between the parties shall be referred to the courts of Malaysia, and both parties submit to the non-exclusive jurisdiction of those courts.
10. Changes to these Terms
We may update these Terms from time to time. The date at the top of this page reflects the most recent revision. Continued use of our Website or engagement of our services after an update constitutes acceptance of the revised Terms.
